The New York Chapter of the Commercial Finance Association and the Association of Commercial Finance Attorneys jointly presented a program on acquisition financing titled "Issues for ABL Commitment Letters in Acquisition Financing: Be Careful What You Wish For!" held on March 14, 2013 at 101 Park Avenue, New York City.
The panel discussed "SunGard", MAC conditions, Xerox provisions, diligence conditions, solvency conditions, the use of flex and the impact of the syndication process in putting together the commitment letter for a transaction.
The panel included David Morse and Michael Barocas of Otterbourg.
