Mergers and Acquisitions 2013: Trends and Developments

David Morse, a partner at Otterbourg, presented at the Practicising Law Institute's Mergers and Acquisitions 2013: Trends and Developments held in New York on January 17, and 18, 2013. David addressed legal issues in financing acquisitions, including discussing such matters as:
- SunGard provisions, Xerox provisions, and material adverse change conditions in commitment letters;
- "flex" and marketing periods for the syndication of credit facilities;
- structuring of the financing, including the impact of fraudulent transfer laws; and
- loan documentation issues.
